Onterris Reports Q2 2026 Results, Updates Outlook and Launches Strategic Review

Onterris, Inc. (NYSE: ONT), a global environmental solutions company, has announced its financial results for the second quarter ended June 30, 2026, while also revising its full-year revenue outlook, reaffirming expectations for improved profitability and cash flow, and initiating a comprehensive Board-led strategic review aimed at enhancing long-term shareholder value.

The company continues to face challenging market conditions, particularly in environmental emergency response services, which have remained well below historical levels following unusually strong activity in the prior year. Despite these headwinds, management emphasized that the company’s core operations continue to demonstrate resilience, supported by steady demand across testing, consulting, and treatment services, ongoing cost optimization, and disciplined capital management.

Emergency Response Weakness Impacts Revenue

President and Chief Executive Officer Vijay Manthripragada said the company’s updated revenue guidance reflects significantly lower environmental emergency response activity during 2026, but stressed that the underlying business remains healthy.

According to Manthripragada, Onterris expects to deliver growth in Consolidated Adjusted EBITDA during 2026 while expanding EBITDA margins by approximately 150 basis points compared with 2025. He noted that the company’s stable testing operations and secured consulting and treatment projects provide confidence in maintaining cash flow expectations despite softer revenue.

Management also reaffirmed its commitment to executing strategic priorities that remain within its control, including serving customers, maintaining cost discipline, improving operational efficiency, and increasing the conversion of revenue into earnings and cash flow. These initiatives, the company believes, will continue strengthening Onterris while supporting long-term shareholder value creation.

Second Quarter Revenue Declines

For the second quarter of 2026, Onterris reported revenue of $186.7 million, compared with $234.5 million during the same period in 2025. The year-over-year decline of $47.9 million primarily resulted from lower activity within the company’s Consulting and Treatment segment.

Consulting and Treatment revenue decreased by $46.2 million, largely because environmental emergency response and associated recovery services returned to historically normal levels after an exceptionally active prior-year quarter driven by a major environmental incident.

Revenue generated specifically from environmental emergency response services declined by $37.7 million, accounting for the majority of the overall decrease.

Meanwhile, the Measurement and Analysis segment experienced a relatively modest decline of $1.7 million compared with the previous year. Despite the slight reduction, management indicated that customer demand within this business remains strong and expects activity to accelerate during the second half of 2026.

Operating Income and Earnings Lower

The revenue decline naturally affected profitability during the quarter.

Income from operations totaled $6.5 million, down from $14.9 million in the second quarter of 2025. Although reduced revenue significantly impacted earnings, improvements in project mix and continued cost-control initiatives helped offset part of the decline.

Net income for the quarter reached $1.4 million, equivalent to $0.04 per diluted share, compared with $18.4 million, or $0.42 per diluted share, during the prior-year period.

The reduction in net income reflected:

  • Lower operating income
  • Reduced fair-value gains on financial instruments
  • Partially offset by lower income tax expense

The decline in earnings per share was moderated by two additional factors:

  • The elimination of dividends associated with the fully redeemed Series A-2 shares following their redemption on July 1, 2025.
  • A lower diluted weighted-average share count resulting from capital management initiatives.

Adjusted Results Demonstrate Operational Stability

While GAAP earnings declined significantly, adjusted financial metrics painted a more stable picture of the company’s underlying operations.

Adjusted Net Income for the second quarter totaled $19.6 million, compared with $27.4 million one year earlier.

Adjusted diluted earnings per share came in at $0.51, compared with $0.60 during the second quarter of 2025.

Management attributed the decrease primarily to lower revenues resulting from reduced emergency response work rather than deterioration in the company’s core operating performance.

Again, the reduction in adjusted EPS was partially offset by the elimination of Series A-2 preferred dividends and a lower fully diluted share count.

EBITDA Margin Continues to Improve

One of the company’s most encouraging financial indicators was continued improvement in profitability margins despite lower sales.

Consolidated Adjusted EBITDA reached $31.9 million, compared with $39.6 million during the prior-year quarter.

Although total EBITDA declined because of lower revenue, EBITDA as a percentage of revenue increased.

Second-quarter EBITDA margin improved to 17.1%, compared with 16.9% one year earlier.

Management credited this improvement to successful cost optimization efforts, operational efficiencies, and disciplined expense management implemented throughout the organization.

These gains demonstrate the company’s ability to preserve profitability even as market conditions remain challenging.

Cash Flow Expectations Remain Strong

Despite weaker quarterly earnings, Onterris maintained its full-year operating cash flow expectations.

The company expects approximately 60% of full-year Consolidated Adjusted EBITDA to convert into operating cash flow.

Management projects operating cash flow between $70 million and $80 million during the second half of 2026.

Because of this anticipated cash generation, Onterris expects to finish the year with a leverage ratio of approximately 2.5 times, generally consistent with 2025 levels.

This forecast already incorporates:

  • $30 million of share repurchases completed during the first half of 2026.
  • $10.8 million in contingent consideration payments.

The company believes these cash flow expectations demonstrate the resilience of its business model despite temporary revenue headwinds.

First-Half Operating Cash Flow Declines

For the six months ended June 30, 2026, net cash used in operating activities totaled $5.5 million, compared with $27.4 million in operating cash generated during the first half of 2025.

The year-over-year decline reflected several factors.

Lower earnings before non-cash adjustments reduced operating cash generation, while seasonal working capital requirements also weighed on cash flow.

Additionally, the company paid $27.7 million in annual performance bonuses during the first quarter of 2026. These bonuses reflected the company’s strong financial performance during 2025 and were substantially higher than the $11.7 million paid during the comparable period last year.

Management indicated that these timing-related payments significantly influenced first-half cash flow but do not alter full-year expectations.

Liquidity Position Remains Healthy

As of June 30, 2026, Onterris maintained a solid liquidity profile.

The company’s leverage ratio under its 2025 Credit Facility stood at 3.2 times, reflecting both shareholder returns and acquisition-related obligations during the first half of the year.

Total available liquidity reached $160.8 million, consisting of:

  • $12.7 million in cash.
  • $148.1 million available under its revolving credit facility.

Management believes this financial flexibility provides sufficient resources to support operations, strategic investments, and capital allocation priorities moving forward.

Board Initiates Strategic Review

Beyond financial results, Onterris announced a significant corporate governance initiative.

The Board of Directors has launched a comprehensive strategic review process designed to evaluate opportunities for enhancing shareholder value.

The review will be conducted with assistance from independent financial and legal advisors and will examine numerous aspects of the company’s future.

  • Capital allocation priorities
  • Long-term strategic planning
  • Potential strategic alternatives
  • Acquisition interest involving the company

No timetable has been established for completing the review.

Furthermore, the company stated there is no assurance that the process will result in a transaction or any specific outcome. Onterris also indicated it does not intend to provide further updates unless additional disclosure becomes appropriate or legally required.

Rights Plan Adopted

In conjunction with the strategic review announcement, the Board approved a limited-duration stockholder rights plan, commonly referred to as a “Rights Plan.”

The company said the plan was adopted in response to significant undisclosed accumulation of Onterris shares and derivative securities.

According to the Board, the Rights Plan is intended to protect all shareholders by ensuring that any party seeking effective control of the company does so through a process that appropriately compensates investors.

The plan is also designed to preserve the integrity of the newly announced strategic review by preventing any individual or group from gaining undue influence during the evaluation process.

Management stated the Rights Plan provides the Board with sufficient time to carefully assess strategic alternatives while acting in the best interests of all shareholders.

The Rights Plan became effective immediately upon approval and will remain in effect for one year, expiring on August 4, 2027, unless terminated earlier by the Board.
