Constellation Announces Board Leadership Changes

Constellation Announces Board Leadership Transition, Appoints MassMutual CEO Roger Crandall as Independent Director

Constellation (Nasdaq: CEG) has announced significant changes to its Board of Directors, marking a new chapter in the company’s leadership and governance. The company revealed that its Board has elected President and Chief Executive Officer Joe Dominguez as Chairman of the Board, effective August 4, 2026. In addition, Roger Crandall, Chairman, President and Chief Executive Officer of MassMutual, has been appointed to the Board as an independent director, effective August 5, 2026. Charles L. Harrington will assume the role of Lead Independent Director, strengthening the company’s commitment to strong corporate governance and independent oversight.

The leadership transition follows the departure of longtime board member and Chairman Robert J. Lawless, whose resignation became effective on August 4, 2026. Lawless leaves behind a legacy of more than 20 years of service and leadership that helped shape Constellation through multiple phases of its corporate evolution.

Joe Dominguez Expands Leadership Role

By assuming the role of Chairman while continuing to serve as President and Chief Executive Officer, Joe Dominguez will lead both the strategic direction of the Board and the company’s executive management. The appointment reflects the Board’s confidence in Dominguez’s leadership as Constellation continues to strengthen its position as one of the nation’s leading providers of carbon-free energy.

Constellation has experienced significant growth since becoming an independent company following its separation from Exelon in 2022. Under Dominguez’s leadership, the company has focused on delivering reliable electricity while expanding its portfolio of clean energy assets, including nuclear, renewable, hydroelectric, wind and solar generation. The dual leadership role is expected to support continued execution of the company’s long-term strategic priorities as electricity demand rises across the United States.

While Dominguez assumes the position of Chairman, the Board emphasized that corporate governance remains a priority. Charles L. Harrington will serve as Lead Independent Director, providing independent oversight and ensuring that the Board continues to operate with strong governance practices.

The Lead Independent Director role includes responsibilities such as facilitating communication among independent directors, coordinating executive sessions without management present, and serving as a liaison between independent directors and executive leadership. Maintaining this governance structure reinforces Constellation’s commitment to accountability and transparent decision-making.

Roger Crandall Joins the Board

A key aspect of the announcement is the appointment of Roger Crandall as an independent director. Crandall brings nearly four decades of leadership experience in financial services and corporate management, making him a valuable addition to Constellation’s Board.

Crandall has served as Chief Executive Officer of MassMutual since 2010 and currently holds the positions of Chairman, President and CEO of the company. Under his leadership, MassMutual has strengthened its position as one of the largest mutual life insurance companies in the United States.

MassMutual, a Fortune 100 company with a history spanning approximately 175 years, serves more than four million customers and manages more than $1 trillion in life insurance in force. During Crandall’s tenure, the company has maintained strong financial performance while delivering value to policyowners through disciplined business management and long-term strategic planning.

His experience extends well beyond the insurance industry. Throughout his career, Crandall has overseen large-scale capital allocation initiatives, enterprise risk management programs, digital transformation projects and corporate governance efforts. These areas closely align with many of the strategic priorities facing major energy companies as they invest billions of dollars in infrastructure modernization and clean energy development.

Broad Executive Experience

In addition to leading MassMutual, Crandall has held numerous leadership positions in both the public and private sectors.

He recently completed his service as Chair of the Federal Reserve Bank of Boston, providing him with firsthand experience in financial markets, economic policy and institutional governance. His service on several business, educational and nonprofit boards further reflects his broad perspective on leadership and organizational strategy.

Crandall earned a Master of Business Administration from the Wharton School at the University of Pennsylvania, one of the nation’s leading business schools. He also holds a bachelor’s degree in economics from the University of Vermont.

His extensive financial expertise is expected to complement Constellation’s Board as the company continues investing in generation assets, transmission infrastructure, customer solutions and emerging technologies designed to support a rapidly evolving energy market.

Leadership Welcomes New Director

Joe Dominguez praised Crandall’s appointment, emphasizing the value his experience will bring to the company.

According to Dominguez, Crandall’s background in capital allocation, corporate governance, risk management and technology transformation makes him exceptionally well qualified to support Constellation’s strategic objectives.

As electricity demand continues increasing due to data centers, advanced manufacturing, electrification and artificial intelligence applications, Constellation expects to benefit from Board members with deep expertise in managing large, complex organizations and allocating capital effectively.

Dominguez noted that Crandall’s leadership experience will help guide Constellation as it continues executing its long-term growth strategy while meeting rising demand for reliable, carbon-free electricity across the country.

Crandall Highlights Energy’s Growing Importance

Following his appointment, Crandall expressed enthusiasm about joining Constellation’s Board and supporting the company’s future growth.

He noted that Constellation plays an increasingly important role in powering economic expansion while advancing a more reliable and sustainable energy future for businesses, communities and consumers.

Crandall also emphasized his commitment to working closely with fellow Board members and executive leadership to help create long-term shareholder value while supporting the company’s broader mission of delivering dependable clean energy.

His comments reflect growing recognition across multiple industries that reliable electricity generation is becoming an increasingly critical component of economic competitiveness and national infrastructure.

Honoring Robert J. Lawless

The leadership changes coincide with the retirement of Robert J. Lawless, who concludes an extraordinary tenure with Constellation and its predecessor organizations.

Lawless first joined the Board of legacy Constellation Energy Group in 2002. During the following decade, he helped oversee the company’s strategic development until its merger with Exelon in 2012.

Following that transaction, Lawless continued serving on Exelon’s Board from 2012 until 2022. When Constellation separated from Exelon and reemerged as an independent public company in 2022, he became Chairman of the newly independent company.

Throughout more than two decades of service, Lawless provided consistent leadership during periods of major transformation, including mergers, corporate restructuring and the establishment of Constellation as a standalone energy company.

Contributions to Corporate Growth

Constellation credited Lawless with helping establish the governance framework and strategic direction that positioned the company for long-term success.

His expertise in finance, corporate strategy and board leadership contributed significantly to the company’s evolution into one of the nation’s largest producers of carbon-free electricity.

During his tenure, Lawless supported management through major organizational transitions while maintaining a focus on shareholder value creation, disciplined governance and sustainable growth.

The company noted that his strategic guidance helped build a strong foundation that continues to support Constellation’s business strategy today.

Executive Leadership Recognizes Lawless

Joe Dominguez expressed appreciation for Lawless’ many years of service, describing him as one of the individuals who has had the greatest influence on Constellation’s corporate journey.

Dominguez highlighted Lawless’ contributions throughout the company’s history, from his role on the legacy Constellation Board to his leadership following the company’s separation from Exelon.

He also praised Lawless for serving as a trusted advisor, thoughtful leader and consistent advocate for the company’s long-term success. According to Dominguez, Lawless’ leadership helped establish the platform that enabled Constellation to grow and create significant value as an independent public company.

Extensive Executive Experience

Before joining Constellation’s Board, Lawless built an accomplished executive career in the consumer products industry.

He previously served as Chairman, President and Chief Executive Officer of McCormick & Company, where he gained decades of experience in executive leadership, strategic planning and corporate governance.

His experience leading a major publicly traded company provided valuable insight into board oversight, shareholder engagement and long-term corporate strategy. Those skills proved instrumental throughout his years serving Constellation and Exelon.

The company stated that Lawless consistently promoted disciplined leadership and strong governance while helping guide decisions affecting the company’s future growth.

Lawless Reflects on His Service

As he concluded his Board service, Lawless expressed gratitude for the opportunity to work alongside Constellation’s leadership team and fellow directors.

He described his Board service as an honor and said he was proud of the company’s accomplishments over the years. Lawless also expressed confidence that Constellation is well positioned to continue executing its strategy and achieving future success.

Positioning for Continued Growth

The Board changes come at a time when Constellation continues expanding its role in the U.S. energy sector. Rising electricity demand driven by artificial intelligence, electrification, industrial expansion and digital infrastructure is creating new opportunities for providers of reliable carbon-free generation.

With Joe Dominguez serving as Chairman and CEO, Roger Crandall joining as an independent director, Charles Harrington providing independent Board leadership, and a governance structure designed to balance executive leadership with independent oversight, Constellation believes it is well positioned to continue delivering long-term value for shareholders while supporting America’s growing need for dependable clean energy.
