AltaLink Receives Court Approval for Internal Reorganization
AltaLink, L.P. (“ALP”) has announced that its parent company, BHE AltaLink Ltd. (“BHEAL”), has received final approval from the Court of King’s Bench of Alberta for a previously announced internal corporate reorganization. The court’s decision represents an important procedural milestone for the electricity transmission business and clears a key legal requirement needed to move forward with the planned restructuring.
The internal reorganization, referred to as the “Internal Reorganization,” will be implemented through a plan of arrangement under Alberta’s Business Corporations Act. The process involves several entities within the AltaLink corporate structure, all of which are ultimately wholly owned, directly or indirectly, by BHEAL.
According to AltaLink, the Internal Reorganization is currently expected to be completed on October 1, 2026, provided that the remaining conditions required to close the transaction are satisfied or waived.
The court approval follows the arrangement agreement originally entered into on July 9, 2026, between ALP, BHEAL and certain other wholly owned direct or indirect subsidiaries of BHEAL, collectively referred to as the AltaLink Entities. The agreement was subsequently amended through an amending agreement dated August 27, 2026.
Court Approval Marks Key Reorganization Milestone
The Final Order issued by the Court of King’s Bench of Alberta is a significant step in the implementation of the Internal Reorganization. Court approval is part of the legal process required to complete the proposed plan of arrangement and establishes the necessary framework for the corporate changes outlined in the agreements.
The reorganization is designed primarily to simplify and reorganize the existing corporate structure rather than represent a change in the ultimate ownership of the businesses involved. The entities participating in the transaction are direct or indirect wholly owned subsidiaries of BHEAL.
Once the Internal Reorganization is completed, AltaLink Ltd. will become the successor to ALP and certain other AltaLink Entities under the Plan of Arrangement. The successor company will assume an important role within the reorganized structure and will become the regulated transmission utility.
Under the planned structure, AltaLink Ltd. will hold, either directly or indirectly, all of the assets and liabilities that are currently held by ALP. This arrangement is intended to provide a consolidated structure for the regulated transmission operations and the assets and obligations associated with those operations.
Transition to AltaLink Ltd.
One of the most important outcomes of the Internal Reorganization will be the transition from ALP to AltaLink Ltd. as the regulated transmission utility.
AltaLink operates within Alberta’s electricity transmission infrastructure and plays a critical role in transporting electricity across the province. Transmission networks connect power generation resources with distribution systems and large electricity users, supporting the reliability and movement of electricity across the broader power system.
The planned corporate restructuring will place the assets and liabilities currently held by ALP within the successor structure of AltaLink Ltd. The change is therefore significant from a corporate and legal perspective, while the primary objective is to reorganize the existing entities and establish a revised ownership and operating structure.
Because the companies participating in the Internal Reorganization are all within the BHEAL corporate group, the transaction is an internal restructuring rather than an external acquisition or sale to an unrelated third party.
Expected Completion on October 1
AltaLink said the Internal Reorganization is expected to close on October 1, 2026. However, the proposed completion date remains subject to the satisfaction or waiver of the other conditions included in the Arrangement Agreement.
The July 9, 2026, Arrangement Agreement established the framework for carrying out the transaction. That agreement was later modified through the August 27, 2026, Amending Agreement. The amended arrangements, together with the Plan of Arrangement, provide the legal and corporate framework for completing the restructuring.
The Final Order from the Alberta court is therefore one of the key steps toward closing. Once the remaining conditions have been addressed, the companies can proceed with the implementation of the Plan of Arrangement and the resulting corporate changes.
The October 1 target date provides a defined timeline for the transition, although the company has made clear that completion remains dependent on the applicable closing requirements.
Corporate Structure and Asset Transfer
Following completion, AltaLink Ltd. will be the successor to ALP and certain other entities involved in the arrangement. The new structure will result in AltaLink Ltd. holding, directly or indirectly, the assets and liabilities currently associated with ALP.
This includes the assets supporting the company’s regulated transmission business as well as the corresponding liabilities. The restructuring is intended to align the legal entity responsible for the regulated transmission operations with the assets and obligations that support those operations.
For stakeholders, the change provides a clearer view of the legal structure through which the transmission business will operate following implementation of the Plan of Arrangement.
The Internal Reorganization also demonstrates the role of corporate structuring in the management of regulated energy infrastructure. The available materials include the notice of originating application, the amended notice of originating application and the originating application filed with the Court in connection with the Internal Reorganization.
Stakeholders can also review the Arrangement Agreement dated July 9, 2026, the Amending Agreement dated August 27, 2026, and the Plan of Arrangement. The Plan of Arrangement is included as Schedule “A” to the Amending Agreement.
