Kosmos Energy Ltd. (NYSE/LSE: KOS) has announced its intention to offer $500 million in senior notes due in 2031, subject to market conditions. The proceeds from this offering, along with available cash, will be used to fund tender offers for part of its existing senior notes with various maturities and to cover associated premiums, fees, and expenses.
The senior notes being offered will not be registered under the Securities Act of 1933 or any state securities laws and cannot be sold in the United States without registration or an applicable exemption. They will be offered only to qualified institutional buyers in reliance on Rule 144A and, outside the United States, to non-U.S. persons under Regulation S.
