Iberdrola Expands GIC Transmission Alliance in Brazil
Iberdrola, through its Brazilian subsidiary Neoenergia, has completed a transaction to expand its strategic alliance with GIC, Singapore’s sovereign wealth fund, in Brazil’s electricity transmission sector. The agreement adds seven Neoenergia transmission assets to the companies’ joint platform, increasing the scale and geographic reach of their partnership and strengthening their participation in Brazil’s electricity infrastructure.
The transaction brings seven additional transmission assets into Neoenergia Transmissão. The assets are Neoenergia Guanabara in Rio de Janeiro; Neoenergia Vale do Itajaí in Santa Catarina; Potiguar Sul in Rio Grande do Norte; Neoenergia Morro do Chapéu in Bahia; Neoenergia Estreito in Minas Gerais; Neoenergia Alto Paranaíba, which operates across São Paulo and Minas Gerais; and Neoenergia Paraíso in Mato Grosso do Sul.
Following completion of the transaction, Neoenergia has increased its ownership interest in Neoenergia Transmissão from 50% to 51%. The company therefore retains control of the transmission platform, while GIC holds the remaining 49% stake. The expanded partnership brings together a larger portfolio of transmission infrastructure spanning multiple regions of Brazil.
Neoenergia Transmissão now comprises 16 transmission assets with a combined network of 6,710 kilometres of transmission lines. The platform has an asset value of approximately BRL 25.5 billion, equivalent to around €4.25 billion, while estimated annual regulated revenues stand at approximately BRL 1.9 billion, or about €320 million.
The expanded portfolio provides the partnership with greater scale and geographical diversification across Brazil. It also combines long-term regulated revenues with strategically important electricity transmission infrastructure. These characteristics support the platform’s position as one of the largest privately operated electricity transmission businesses in Brazil.
The transaction represents the third deal completed as part of the strategic partnership between Neoenergia and GIC. The alliance was established in 2023 with the creation of Neoenergia Transmissão, bringing together the companies’ interests in Brazil’s electricity transmission market. Since then, the partnership has continued to expand its portfolio through additional transactions involving transmission assets.
Through the expanded alliance, Neoenergia and GIC are increasing their participation in infrastructure that forms an important part of Brazil’s electricity system. Transmission networks are essential for transporting electricity between generation facilities and distribution networks, helping connect different regions and support the flow of power across the country.
The partnership also reflects a long-term approach to infrastructure ownership and investment. Neoenergia and GIC are combining their respective resources and capabilities while maintaining a focus on financial discipline, operational performance and the continued development of Brazil’s electricity network.
For Neoenergia, retaining a controlling 51% stake following the latest transaction allows the company to remain responsible for the management and strategic direction of the platform. At the same time, GIC’s 49% interest maintains the sovereign wealth fund’s significant participation in the Brazilian transmission portfolio.
The seven newly incorporated assets further diversify the platform geographically. The projects are distributed across Rio de Janeiro, Santa Catarina, Rio Grande do Norte, Bahia, Minas Gerais, São Paulo and Mato Grosso do Sul. Their inclusion gives Neoenergia Transmissão a broader presence across several important Brazilian states and electricity infrastructure markets.
The completion of the transaction also reinforces Iberdrola’s broader strategy of expanding its regulated networks activities. Electricity transmission and distribution have become central components of the group’s infrastructure investment plans, with Iberdrola targeting substantial capital deployment in networks over the coming years.
Iberdrola Strengthens Global Networks Strategy
The latest transaction reinforces Iberdrola’s commitment to electricity transmission and distribution networks around the world. The company plans to invest nearly €30 billion in the networks business through 2028, with the United Kingdom, the United States and Brazil identified as its principal investment destinations.
Iberdrola currently has a Regulated Asset Base, or RAB, of approximately €55 billion. The company expects this figure to continue increasing, with its RAB projected to exceed €90 billion by 2031. The strategy is focused on markets where investment in electricity networks is supported by clear and stable regulatory frameworks.
The company considers regulated networks an important part of its long-term infrastructure strategy. Transmission and distribution systems require sustained investment to maintain reliability, accommodate new sources of electricity generation and support changing patterns of electricity consumption.
Brazil represents an important market within this strategy because of the country’s large electricity system and the need for continued investment in transmission infrastructure. The expansion of Neoenergia Transmissão gives Iberdrola a larger platform from which to participate in this market while working with GIC as a long-term investment partner.
The partnership’s focus on regulated infrastructure also provides exposure to long-term revenue streams. Neoenergia Transmissão’s estimated annual regulated revenues of approximately BRL 1.9 billion demonstrate the scale of the enlarged platform and its importance within the companies’ Brazilian infrastructure portfolios.
The transaction further illustrates the role of partnerships in financing and developing large-scale electricity infrastructure. By combining Neoenergia’s operating capabilities and local presence with GIC’s investment capacity, the alliance provides a structure for continued participation in Brazil’s transmission sector.
Since the partnership was launched in 2023, the two companies have completed three transactions. The latest expansion increases the number of assets within Neoenergia Transmissão to 16 and brings the network to 6,710 kilometres of transmission lines.
With Neoenergia maintaining a 51% controlling interest and GIC holding 49%, the ownership structure preserves the strategic partnership while allowing Neoenergia to continue directing the platform. The enlarged portfolio provides exposure to transmission infrastructure across seven additional assets and multiple Brazilian states.
For Iberdrola, the completion of the transaction is consistent with its wider objective of increasing investment in regulated networks in markets with supportive regulatory conditions. The company’s planned €30 billion investment through 2028 demonstrates the scale of its networks ambitions, while its target of exceeding €90 billion in RAB by 2031 points to continued expansion.
The completion of the Neoenergia-GIC transaction therefore marks another step in the development of Brazil’s private electricity transmission infrastructure. With 16 assets, 6,710 kilometres of transmission lines, approximately BRL 25.5 billion in asset value and estimated annual regulated revenues of BRL 1.9 billion, Neoenergia Transmissão now operates at a significantly larger scale.
The expanded alliance also provides a foundation for the companies to continue supporting the development and modernization of Brazil’s electricity transmission infrastructure. With a long-term investment approach, diversified asset portfolio and regulated revenue base, Neoenergia and GIC are positioned to maintain their partnership as Brazil’s electricity network continues to evolve.
