Valero to Acquire Former LyondellBasell Houston Refinery for $320.5 Million
Valero Energy Corporation (NYSE: VLO) has announced that its wholly owned subsidiary, Valero Refining-Texas, L.P., has entered into a definitive agreement to acquire all outstanding equity interests of LYB Houston Hub Holdings LLC (LYB Houston) from a subsidiary of LyondellBasell Industries N.V. The transaction represents a strategic expansion of Valero’s refining operations along the U.S. Gulf Coast and is expected to strengthen the company’s long-term refining capabilities.
Under the terms of the agreement, Valero will pay a purchase price of $320.5 million, subject to customary closing adjustments. The acquisition will give Valero indirect ownership of an approximately 700-acre industrial facility located adjacent to its existing Houston refinery along the Houston Ship Channel in Texas. The property previously operated as a petroleum refinery and provides an opportunity for Valero to expand its processing capacity and optimize its existing refining infrastructure.
The transaction is expected to close by the end of 2026, subject to customary closing conditions. These include the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, as well as the satisfaction of other standard requirements associated with the completion of the acquisition.
Following the completion of the transaction, Valero plans to evaluate the facility’s operations and prepare for the restart of its refining capacity. The company currently expects to initially restart approximately 165,000 barrels per day (BPD) of light sweet crude processing capacity by the end of 2027. This planned restart would provide additional processing capability within Valero’s existing Gulf Coast refining network and support its ability to serve customers across important domestic and international energy markets.
Beyond the initial restart, the acquisition offers Valero the opportunity to consider additional investments that could enable the facility to process high-complexity, heavy sour crude oil. Such investments would potentially expand the range of crude oil feedstocks that the facility can handle and provide greater operational flexibility as market conditions and crude supply opportunities evolve.
The ability to process different crude oil grades is an important consideration for refining companies operating in the competitive U.S. Gulf Coast market. Light sweet crude and heavy sour crude have different characteristics and processing requirements. Facilities equipped with appropriate refining technologies can benefit from access to a broader range of feedstocks, depending on crude availability, pricing and product demand.
Valero believes the acquisition offers a strategically attractive opportunity to expand its existing industrial footprint without undertaking the development of an entirely new refinery site. The approximately 700-acre property is located next to the company’s Houston refinery, creating potential advantages through its proximity to established infrastructure, operational resources and commercial activities along the Houston Ship Channel.
Commenting on the transaction, Lane Riggs, Chairman, Chief Executive Officer and President of Valero, described the acquisition as an opportunity to strengthen the company’s presence in the U.S. Gulf Coast refining market.
Riggs said the transaction would allow Valero to strategically expand its refining footprint at a fraction of replacement value while enhancing the long-term strength of its refining system. He also highlighted the expected financial returns, commercial optimization opportunities and potential for future investment in high-complexity, heavy sour crude oil processing.
According to Valero, the acquisition is consistent with its disciplined capital allocation framework. The company intends to pursue investments that can generate attractive financial returns while supporting the long-term competitiveness and efficiency of its refining operations. The purchase price of $320.5 million provides an opportunity to obtain a substantial industrial property with existing refinery infrastructure and the potential for additional processing capacity.
The transaction could also create commercial optimization opportunities by bringing the acquired property under Valero’s ownership alongside its existing Houston refinery operations. The close proximity of the two facilities may provide opportunities to evaluate infrastructure utilization, operational coordination and other potential efficiencies. These opportunities will depend on the company’s future operating plans and any investments required to prepare the acquired facility for service.
The planned initial restart of 165,000 BPD of light sweet crude processing capacity by year-end 2027 represents an important milestone in Valero’s proposed development of the site. The company has not indicated that the full potential of the property will be immediately realized following closing. Instead, the opportunity to pursue additional heavy sour crude processing capabilities provides a longer-term investment pathway.
Valero’s acquisition of LYB Houston reflects its continued focus on strengthening its refining portfolio through strategic opportunities in established energy markets. The Houston Ship Channel is an important industrial and energy transportation corridor, supporting refining, petrochemical production, storage and other energy-related activities. The acquired property’s location within this industrial environment is expected to support Valero’s evaluation of future operational and commercial opportunities.
To provide investors and other stakeholders with additional information about the transaction, Valero has prepared a presentation outlining the acquisition. The presentation will be made available through the company’s Investor Relations website and furnished as an exhibit to a Current Report on Form 8-K.
The completion of the acquisition remains subject to the required regulatory review and customary closing conditions. Once the transaction is finalized, Valero will move forward with its plans to assess the acquired facility and pursue the proposed restart of refining capacity.
With a purchase price of $320.5 million, an approximately 700-acre site and an initial planned processing capacity restart of 165,000 BPD, the acquisition represents a significant opportunity for Valero to expand its U.S. Gulf Coast operations. The potential for future heavy sour crude processing investments could further enhance the site’s capabilities and provide additional flexibility within the company’s refining system over the longer term.
