Anaergia Signs Agreement to Deliver EPC and O&M Services for Landmark Renewable Energy Project in Riverside, California

Anaergia Inc. (“Anaergia” or the “Company”) has taken another significant step forward in its mission to accelerate the global transition to renewable energy. The Company announced that one of its subsidiaries has entered into an agreement to support the advancement of a major renewable natural gas (“RNG”) infrastructure project in the City of Riverside, California.

This agreement represents a key milestone in Anaergia’s strategy to expand its footprint in the North American renewable energy sector while simultaneously helping municipalities meet critical sustainability and regulatory goals. By leveraging its proven expertise in advanced biogas and organic waste conversion technologies, Anaergia is positioning itself as a leading solutions provider in the ongoing transformation of waste management and renewable fuel production.

The Riverside Bioenergy Facility: An Overview

At the heart of this announcement is Anaergia’s development-stage project asset known as Riverside Bioenergy Facility, LLC (RivBF). RivBF holds a long-term lease with the City of Riverside, which allows for the development and construction of cutting-edge organic waste-to-RNG infrastructure at the Riverside Water Quality Control Plant (RWQCP).

Under the newly announced transaction, RivBF will be sold to a developer that is backed by institutional investor funding. This transfer of ownership reflects Anaergia’s capital-light strategy—an approach that prioritizes reducing financial exposure while ensuring that essential projects receive the capital and expertise needed to succeed. By handing project ownership to an investor-backed developer, Anaergia creates a pathway for faster execution and ensures that the project benefits from strong financial backing, while still maintaining a central role in delivering technology, engineering, and services.

EPC Role: Engineering, Procurement, and Construction

One of the major components of the agreement is Anaergia Technologies, LLC’s role as the EPC contractor for the project. Once the financial closing is completed, Anaergia will oversee engineering, procurement, and construction services at the RWQCP.

These EPC services are comprehensive and will include:

  • Biogas Conditioning and Upgrading Systems: Anaergia will install its advanced biogas upgrading technologies, which allow the captured biogas to be refined into pipeline-quality renewable natural gas.
  • Organic Waste Feedstock Processing Systems: The facility will be equipped with Anaergia’s state-of-the-art systems to efficiently handle, sort, and process organic waste. This ensures maximum yield of biogas from municipal and industrial organic waste streams.
  • RWQCP Upgrades: Infrastructure improvements at the water quality control plant will enhance its efficiency, sustainability, and ability to integrate seamlessly with the new waste-to-RNG systems.

The majority of EPC activities are scheduled for 2026 and 2027, with Anaergia projecting to recognize approximately C$39 million in revenue from these activities. This revenue not only underscores the scale of the project but also highlights Anaergia’s role as a key technology and services provider in the growing RNG sector.

Long-Term O&M Commitment

Beyond construction, Anaergia will remain engaged in the project through a long-term Operations and Maintenance (O&M) agreement. Once the EPC phase is complete and the facility is operational, Anaergia Services, LLC—another affiliate of the Company—will take on responsibility for O&M.

This agreement ensures that the Riverside Bioenergy Facility will operate efficiently and reliably over the long term. Anaergia’s O&M team brings decades of combined experience in running large-scale renewable energy and waste-to-resource facilities, which is critical for ensuring uptime, performance, and compliance with regulatory standards.

A Model of Anaergia’s Capital-Light Strategy

The Riverside project serves as a showcase of Anaergia’s capital-light business model. Rather than taking on the full burden of project ownership and financing, Anaergia leverages partnerships with institutional investors and developers. This approach enables the Company to focus on what it does best—delivering high-performance technology solutions, providing EPC services, and ensuring operational excellence—while leaving the capital-intensive aspects of ownership to well-funded partners.

This model allows Anaergia to scale its impact more rapidly, pursue multiple projects simultaneously, and reduce risk. It also positions the Company to adapt more quickly to changing market conditions, including new regulations, policy incentives, and shifts in energy demand.

Regulatory and Environmental Significance

The importance of this project extends well beyond Anaergia’s corporate strategy. It is also a vital step forward for the City of Riverside in meeting California’s ambitious environmental goals.

California has been at the forefront of policies designed to reduce greenhouse gas emissions and promote renewable energy. Among these is SB1383, a regulation that requires the diversion of organic waste from landfills and promotes its recycling into beneficial uses, such as renewable energy production.

By converting organic waste into renewable natural gas at the Riverside Water Quality Control Plant, this project will:

  • Significantly Reduce Greenhouse Gas Emissions: Organic waste in landfills generates methane, a potent greenhouse gas. By capturing and converting this methane into RNG, the project helps mitigate emissions.
  • Support Local Energy Resilience: RNG produced at the facility can be injected into the pipeline system, providing a renewable substitute for fossil natural gas and supporting California’s broader decarbonization efforts.
  • Enhance Municipal Sustainability: The project demonstrates Riverside’s leadership in adopting sustainable practices and shows how municipalities can play a central role in tackling climate change.

Anaergia’s CEO, Assaf Onn, emphasized the dual importance of the project for both the company and the City of Riverside. He stated:

“The new project is pivotal in advancing the City of Riverside’s sustainability efforts by significantly decreasing the carbon footprint of its RWQCP and complying with California’s SB1383 regulations for organic waste recycling.
